Terms of Service

These Terms of Service ("Terms") are an agreement between you and QuickVM, LLC, an Illinois limited liability company ("QuickVM", "we", "us"). They govern your use of the QuickVM websites, the QuickVM platform (including app.quickvm.dev), our APIs, and any compute, networking, or storage capacity we provide (together, the "Service").
By creating an account or using the Service, you agree to these Terms, our Acceptable Use Policy, and our Privacy Policy, both of which are part of these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract to use the Service.
- If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes it.
- You are responsible for your account credentials and for all activity under your account and your teams. Notify us at support@quickvm.com if you suspect unauthorized access.
- Team owners and administrators are responsible for the people they invite and for activity within their teams.
2. The Service
QuickVM lets you manage operating system configurations (such as Butane and Ignition files), connect infrastructure providers, and launch and manage virtual machines. Depending on your plan, this may include:
- Your own infrastructure. You may connect provider accounts you control (for example, a Proxmox cluster). You are responsible for those systems, for the credentials you supply, and for any charges those providers bill you. QuickVM orchestrates them on your instructions.
- QuickVM-operated compute. Where offered, you may launch virtual machines on infrastructure that QuickVM operates, subject to the quotas and capacity limits of your plan.
We may add, change, or retire features of the Service. Where a change materially reduces functionality you pay for, we will give reasonable advance notice when practical.
3. Plans, fees, and payment
- Paid plans are billed in advance on a monthly or yearly cycle. Payments are processed by Stripe; we do not store full payment card numbers.
- Where we offer prepaid credit, credit is deducted as you consume metered resources. Prepaid credit is non-refundable and non-transferable except where a refund is required by law.
- Fees are exclusive of taxes; you are responsible for any applicable taxes other than taxes on our income.
- We may change prices with at least 30 days' notice; changes take effect at your next billing cycle.
- If a payment fails, we will notify you and retry. We may suspend or limit the Service for accounts that remain past due.
- You may cancel or downgrade at any time; paid features continue until the end of the current billing period. We do not prorate or refund partial billing periods except where required by law.
4. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy. Violations may result in throttling, suspension, or termination as described there.
5. Your content
- You retain all rights to the configurations, variables, data, and workloads you create or run through the Service ("Customer Content"). You grant us a limited license to host, store, process, and transmit Customer Content solely to provide and secure the Service.
- You are responsible for Customer Content, including its legality and any secrets or credentials you place in configurations or variables. Fields we designate as sensitive are encrypted at rest; even so, use the least-privileged credentials that will work.
- We do not access the contents of your virtual machines except as needed to operate the Service, investigate abuse or security incidents, or comply with law.
- After account termination, we may delete Customer Content following a 30-day grace period. Export anything you need before closing your account.
6. Our property
The Service, our software, and our names and logos are the property of QuickVM, LLC or its licensors. These Terms grant you no rights in them other than the right to use the Service. Open source components included in the Service remain governed by their own licenses.
7. Availability
We work to keep the Service available and healthy, but the Service is provided without an uptime guarantee or service level agreement unless we agree to one in writing. We may perform maintenance, and parts of the Service may be offered in beta or early-access form.
8. Suspension and termination
- We may suspend or terminate your access immediately if you materially breach these Terms or the Acceptable Use Policy, if your account is significantly past due, or if your use poses a security, legal, or operational risk to the Service or others.
- Where the issue allows it, we will attempt to notify you and give you a chance to correct it before we act.
- Either party may terminate for convenience: you by closing your account, us with at least 30 days' notice to your account email.
9. Copyright complaints
If you believe content hosted through the Service infringes your copyright, send a notice to support@quickvm.com that identifies the work, the material and its location, your contact information, a good-faith statement that the use is unauthorized, a statement under penalty of perjury that the notice is accurate and that you are authorized to act, and your physical or electronic signature. We respond to valid notices, which may include removing material or terminating repeat infringers.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST. MAINTAIN YOUR OWN BACKUPS OF ANYTHING YOU CANNOT AFFORD TO LOSE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (b) QUICKVM'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE THEY CANNOT LAWFULLY BE LIMITED.
12. Indemnification
You will defend and indemnify QuickVM against third-party claims arising from your Customer Content, your workloads, or your breach of these Terms or the Acceptable Use Policy.
13. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' notice by email or through the Service. Continued use after a change takes effect constitutes acceptance. If you do not agree to a change, stop using the Service and close your account before the change takes effect.
14. Governing law and general terms
- These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. The state and federal courts located in Illinois have exclusive jurisdiction, and both parties consent to venue there.
- You must comply with applicable export control and sanctions laws in your use of the Service.
- These Terms, the Acceptable Use Policy, and the Privacy Policy are the entire agreement between you and QuickVM about the Service. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control.
